[[ PROCEDURES ]]

a. (1) Buyer shall issue and deliver to Seller ALL EFFECTIVE Letter of Intent (“LOI”), Irrevocable Corporate Purchase Order (“ICPO”), Bank Confirmation Letter (“BCL”), and Letter of Attestation (“LOA”). LOI, ICPO, BCL, and LOA must be issued by ONE BUYER’S NAME who actually purchase the Products. All these documents should be issued to “3M Distributor/Evit Global CO LTD” which consists of the role and position of the Seller and the name of the Seller company.
(2) Buyer may provide Seller with BCL during (Buyer’s) Attorney-to-(Seller’s) Attorney meeting.
b. Seller shall deliver Seller’s form of LOI, and this Distribution and Purchase Agreement (“Agreement”) to Buyer.
c. Buyer shall sign Seller’s form of LOI, and this Agreement, and return to Seller.
d. Seller shall submit all the above documents to 3M USA within 24 hours.
e. Seller shall deliver SGS REPORT to Buyer, including LOT number, quantity, within 5 business days after receiving the above documents. Seller may issue and deliver Seller’s LOA if Buyer wants at this moment.
f. Buyer will have 24 hours to verify the above SGS report. If Buyer does not verify the SGS report, Buyer needs not to deposit the money, and may cancel this Agreement.
g. Upon Buyer verifying SGS report, Buyer shall deposit the full amount of the Total Amount (100 %) to the no. [4-1] escrow account for immediate release of the money.
h. At the same time of the above full deposit, Buyer shall release 30% of the total amount of money deposited in the no. [4-1] escrow account to receive Air Waybill (“AWB”) from Seller.
i. Buyer shall release the rest of 70% of the total amount of money within 24 hours after Buyer receives AWB from Seller.
(According to circumstances, both parties may use Full Corporate Offer (“FCO”)
