This information is provided for informational purposes only and is subject to change without notice.
An investment on the Linqto platform is an investment in shares of a series of Linqto Liquidshares, LLC (the “Fund”), a Delaware limited liability company, which will invest in a private company either by directly purchasing shares of the private company or indirectly through an investment in a third-party special purpose vehicle that holds shares of the private company. Investors in the Fund will not directly own or hold shares of the private company but will own shares of the Fund. The securities being offered have not been registered under the Securities Act of 1933 (the “33 Act”) or any state securities laws and are being offered and sold in accordance with exemptions provided by Regulation D promulgated under the 33 Act. Linqto makes no guarantee that any private company available on its platform will experience an IPO or any other liquidity event.
The information contained herein does not constitute any form of representation or undertaking and nothing herein should in any way be deemed to alter the legal rights and obligations contained in the agreements between Linqto and its clients. Nothing herein is intended to constitute investment, legal, tax, accounting, insurance, or other professional advice. Linqto does not make any recommendations regarding the merit of any company, security or other financial product or investment strategy, or any recommendation regarding the purchase or sale of any company, security, financial product or investment, nor endorse or sponsor any company identified in this presentation.
Investing in securities in private companies is speculative and involves a high degree of risk. Investors must be prepared to withstand a total loss of their investment. Before investing in the Fund, investors are encouraged to complete their own independent due diligence of the Fund and the private company, which includes, but it not limited to, reviewing all offering documents, including the private placement memorandum, subscription agreement, the Fund’s operating agreement, and any other relevant materials provided by Linqto.
I make a great income, but with family and daily requirements I don’t have $200,000+ available to make such investments. Seemed to be always out-of-touch with my upper-middle class stature. I love the ease and availability Linqto has given me to finally put in a smaller percentage of my portfolio into these up and coming ventures. What has held me back a little from 5 star review is when I transfer from my Roth IRA (Through a Directed IRA source), sometimes I’m a little short. Example: Ripple investment cost $10,042 and I had $10,000 in my Linqto account. I can’t make the investment unless I jump through hoops to get the additional $42 deposited. Why not just make it a round number or adjust the shares to match the $10,000?
App is good, the “deal” is terrible …
Adodderer
Interface is easy to use and intuitive. However, the transaction value is terrible. I wish there were a less harsh and accurate way to describe it, but terrible is on point. This becomes a parent after you own securities you’ve purchased and wish to sell prior to you liquidation event. Not only will you be charged at 10% fee on the gross transaction value, wiping out a significant portion of any gain, you will be voted a price significantly lower than what it would cost you to purchase the same share at the same time through Linqto. For example, you may have a security you paid $35 for, that now cost $55 to add more, but which you could only sell for $45 that might sound great because you still have a $10 gain, except the majority of that will be retained by Linqto as part of the 10% fee upon sale. I understand the heavy fee approach, or the widespread approach as either is a reasonable means of profit for Linqto. However, what I can’t handle is both on the same transaction. Profit profit, but that level agreed makes it impossible for the investor to net any reasonable return prior to a liquidation event. I’m still waiting to see what happens following a liquidation event, as I’ve not experienced one yet with the securities I’ve purchased.
Democratizing Private Investment
Investor Intel
Private Equity investments have been only available to giant institutional investment houses. Love that Linqto is making private market investments into pre-IPO companies accessible to the average investor. From my due diligence: the company has a guaranteed close, banking-level security, proprietary research (e.g., valuations, investment rounds, pricing, and competitors, partners, executives, etc.), and a list of screened “unicorn” investment opportunities in a catalog of dozens of vetted private companies. Linqto also facilitates investor accreditation. How it works: They invest and then allow individuals to participate in the companies they hold. There is no lock up, no additional fees. You have choice in which companies you invest, and no requirements to invest certain amounts; minimum investment of $10,000. Summary: Not just for creating generational wealth, but private markets are where exponential growth happens today… gone are the days where those biggest valuation gains occur post-IPO. Linqto enables you to invest, and is also home to a fabulous private investment community. A+
Why Aren’t You Upset at SEC/FINRA?
vinayakcroy
I personally love this platform- I am so excited private stocks are finally here for accredited investors to back. Low ratings because you don’t qualify as an accredited investor doesn’t mean it’s the app or company’s fault, they are simply working within SEC / FINRA rules. Anyone who’s 1-starring for this reason shows a lack of financial knowledge and common sense, and shouldn’t be investing in the first place.
Performance enhancements and bug fixes.
